Quotations and Orders
Quotations provided by our team are valid for the period stated in the quotation and are based on the information provided at the time. An order is confirmed when we accept it in writing, and all orders are subject to our confirmation of specifications, quantities, pricing and delivery terms.
For custom and private label programs, the confirmed specifications — including materials, colors, sizes, artwork, packaging and quality criteria — form the basis of production. Any change to confirmed specifications may affect pricing, lead time or both, and will be agreed in writing before implementation.
Pricing and Payment
Prices are quoted in the currency stated in the quotation and are exclusive of applicable taxes, duties and shipping costs unless otherwise stated. Payment terms are confirmed at order acceptance and may vary depending on the order value, the customer relationship and the destination. Products are produced and shipped only after the agreed payment terms are met.
All payments must be made through the methods we accept and confirm with you. If a payment is not received in accordance with the agreed terms, we may suspend or cancel the order, and the customer is responsible for any costs incurred as a result.
Customs, Duties and Import Taxes
Depending on the destination country, orders may be subject to customs duties, import taxes or other charges imposed by the destination authorities. Unless otherwise agreed in writing, these charges are the responsibility of the buyer. It is the buyer's responsibility to understand the import requirements and restrictions applicable to the products in their destination market.
Production, Quality and Inspection
Products are produced in accordance with the confirmed specifications and our quality control procedures, which include incoming material inspection, in-process checks and final product inspection. Inspection levels and any additional inspection services are agreed at order confirmation. Samples, when provided, are for evaluation purposes and are intended to represent the confirmed product, but minor variations may occur in mass production.
Shipping and Delivery
Delivery dates provided at order confirmation are estimates based on the production and shipping schedule. We will make reasonable efforts to meet agreed dates, but we are not liable for delays caused by circumstances beyond our reasonable control, including production issues, logistics disruptions, customs processing, weather events or other force majeure events.
Risk of loss or damage to the products passes to the buyer in accordance with the agreed shipping terms. The buyer is responsible for inspecting goods upon receipt and for notifying us of any visible damage or shortage within a reasonable period and before use.
Returns and Claims
Because our products are manufactured to confirmed specifications, returns are handled on a case-by-case basis. If you receive incorrect, damaged or defective products, please contact us promptly with details and supporting evidence. We will evaluate the issue and, where confirmed, agree on an appropriate resolution such as replacement, rework or a commercial adjustment in accordance with the agreed terms.
Claims for damage or shortage must be reported within a reasonable time after receipt and before the products are used or resold. For goods shipped by third-party carriers, claims related to transit damage may also need to be filed with the carrier in accordance with their procedures.
Intellectual Property
All content on our website, including text, images, logos and design elements, is our property or the property of our licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute or use our content for commercial purposes without our prior written permission.
Custom designs and artwork provided by customers remain the property of the customer, and we treat them as confidential. Designs and concepts developed by us under ODM arrangements are subject to the ownership terms agreed in the relevant project documentation.
Confidentiality
We treat business and technical information shared during the course of our relationship as confidential. This includes designs, specifications, pricing, order details and any other non-public information. We limit access to confidential information to personnel involved in your project and do not disclose it to third parties except as required to perform our services or comply with legal obligations.
Limitation of Liability
To the maximum extent permitted by applicable law, our total liability arising out of or in connection with any order or the use of our website shall not exceed the amount paid by the buyer for the products or services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data, loss of business or interruption of business, even if advised of the possibility of such damages.
Nothing in these terms limits or excludes liability that cannot be limited or excluded under applicable law.
Product Information and Descriptions
We make reasonable efforts to ensure that product descriptions, images and specifications on our website are accurate and current. The confirmed specifications for an order are those agreed in writing at order acceptance.
